All About DigiSolar

Switching to renewable sources of energy is the first step towards a carbon neutral future. However, putting up solar panels at home is not feasible for all. Some of us may live in a rented place, some in a high rise, some might not be able to afford the the high upfront investment. DigiSolar is a service provided by Incept that enables everyone to participate in solar energy projects digitally. Solar panels are set up in prime locations to supply green energy to reputed corporates on long term contracts and the benefits flow to you. These solar panels generate solar energy for a tenure of 25 years or more, limiting the usage of fossil fuels. You get the proceeds from energy generated by your portion of the solar asset every month.

  • You can purchase a small slice of the solar energy capacity in one of the projects listed with as little as Rs.500.
  • For a contribution of Rs.50,000, you can become a Partner in an LLP that is buying up capacity in existing solar energy projects and also building fresh capacity.

A DigiSolar Partner makes a contribution towards the corpus of the LLP for a specific solar electricity generating asset. The LLP uses this money to set up or acquire solar capacity to sell green electricity to corporate customers against long term contracts. The LLP receives monthly payments for electricity provided to the corporate customer. The Partner has a right to the profits of the LLP, proportionate to his contribution in the corpus.

Additionally, interest on the contribution may be paid as decided by the LLP based on periodic review of the performance of the solar energy generating asset. Interest if payable, will be calculated monthly, based on the closing balance of the previous month. For the year ending March 2024, interest will be paid by the LLP at the rate of 11% pa.

Based on the performance, the LLP may also from time to time return part of the initial contribution or pay dividends from its profits.

A DigiSolar Partner makes a monetary contribution to an LLP that in turn sets up or acquires solar energy generating capacity. Therefore, the contribution made by a Partner can be understood as the capacity he helped the LLP acquire.

For every unit of thermal, coal-fired electricity replaced by green solar electricity, we avoid releasing 0.8kgs of CO2 into the atmosphere. The contribution a DigiSolar Partner makes, helps build solar energy generation capacity against a contract to sell the output to a corporate consumer of electricity.

Once the request is reviewed and if accepted, you will need to make the payment towards your contribution in to the firm’s bank account and sign a Partnership Agreement.

Any earnings as a Partner can be viewed in your Incept mobile application and can be withdrawn into your linked Bank account. Once you have paid your contribution, you will need to download the incept application on your smartphone, complete your KYC, sign the Partnership Agreement and provide details of your Bank Account.

As per a TERI (The Energy and Resources Institute) report, every unit of solar electricity saves 0.8 kg of CO2 emissions by avoiding the burning of fossil fuels. When you buy DigiSolar, you are helping Solar Energy firms build solar energy generation capacity. Solar energy thus produced replaces electricity generated from fossil fuels resulting in a reduction in CO2 emissions. As our tribe grows, we get closer to generating enough green energy to eliminate our dependence on fossil fuels.

The generation of a solar plant is a function of several factors such as:

  • Solar irradiance: The amount of solar energy that reaches the solar panel is the primary factor that determines the power output of a solar plant. This depends on the geographical location, angle of deployment of the panels and weather conditions at the plant site.
  • Solar panel efficiency: The efficiency of the solar panel in converting solar energy into electricity is another important factor. Higher efficiency panels generate more power from the same amount of sunlight.
  • Inverter efficiency: The efficiency of the inverter that converts the DC output from the solar panels to AC electricity that can be fed into the grid can also affect the overall generation of the solar plant.
  • Plant capacity: The capacity of the solar plant, measured in megawatts (MW) or kilowatts(kW), determines the maximum power that can be generated by the plant.
  • Maintenance: Timely maintenance and downtime of the panels helps keep them in ship shape.
  • Age: Over time, the efficiency of solar panels can degrade due to wear and tear. Regular maintenance can help ensure that the solar panels are in good condition and operating at their optimal level.

You can track the performance of your DigiSolar on the Dashboard of the Incept app. Click on the You’ve Saved CO2 button on the home screen of the app to see how the projects you’ve put your money in are faring.

You are advised to carefully consider the terms and conditions before offering to make a contribution. Once you do make a contribution, you are committed for the period of a year. After a year, you are free to withdraw your contribution and exit the Partnership with a 30 day notice period.

The DigiSolar Partneship agreement recognizes your contribution in a Limited Liability Partnership(LLP). It is a legally recognized entity as per the LLP Act 2008. The LLP builds or acquires solar energy generating assets.

An LLP or a Limited Liability Partnership is an alternative corporate business form that gives the benefits of limited liability of a company and the flexibility of a partnership. Since LLP contains elements of both ‘a corporate structure’ as well as ‘a partnership firm structure’ LLP is called a hybrid between a company and a partnership.

The LLP is a separate legal entity, is liable to the full extent of its assets but liability of the partners is limited to their agreed contribution in the LLP. The LLP can continue its existence irrespective of changes in partners. It is capable of entering into contracts and holding property in its own name. Further, no partner is liable on account of the independent or un-authorized actions of other partners, thus individual partners are shielded from joint liability created by another partner’s wrongful business decisions or misconduct.

Yes, PPAs can be terminated by the electricity consumer, however, if the agreements are terminated, there is a pre-agreed termination value that the power consumer will have to pay which will be distributed to the Partners proportionate to their contributions.

All the power assets are insured against acts of terrorism, fire, burglary, etc.

The solar energy generating ability of a solar panel is a function of the hours and intensity of sunlight received and the age of the panels. Both these factors are considered in building the projected generation over the duration of the project. In addition, a highly reputed O&M services provider (Mahindra Susten) has been appointed to ensure sustained performance of the assets.

We only partner with blue chip companies or institutions with strong credit ratings to ensure minimal defaults; also, given the huge rate advantage they enjoy in solar energy versus drawing from the grid, they would always prefer to draw 100% of what the solar assets can generate before turning to the grid.

The corporate consumer is committed to offtake 100% of the power generation as per the PPA; also, it makes commercial sense for them since the rate is much lower than the grid tariff; and, in all our projects the total demand for electricity is much higher than what our solar assets produce.
